Terms of Service

1. What BulkOps is
BulkOps ("the Service") is a web application operated by Microspear ("we", "us") that performs bulk operations on your Xero organisation — currently bulk credit note and overpayment allocation, supplier payment runs that apply credit notes and create batch payments, bulk export of document attachments, and bulk archiving of tracking categories and options. By using the Service you agree to these terms.
2. Your Xero data and authorisation
The Service connects to Xero through Xero's official OAuth flow. We never see your Xero password. You may disconnect the Service at any time from within Xero. You are responsible for ensuring you have authority over the Xero organisations you connect.
3. How operations work
- Every bulk operation shows a preview before anything is written to Xero.
- Only items you approve are executed, and every write is recorded in an audit log.
- Allocation, archive and payment-run jobs are reversible via the undo feature. Undo depends on Xero's API continuing to permit the reverse operation; a batch payment that has been reconciled in Xero must be unreconciled there before it can be undone.
- The payment-run feature creates batch payment records inside Xero. It does not transfer money: funds move only when you submit the batch to your bank through your normal process. You are responsible for reviewing amounts before approving a run and before paying the batch.
- Attachment export is read-only and changes nothing in Xero. Exported files are held for download for 7 days and then deleted automatically (see the Privacy Policy). Export volume is subject to fair-use caps per job and per month; the Service pauses and resumes automatically rather than failing when a cap is reached.
4. Subscriptions and billing
Paid plans are sold by our merchant of record, Paddle.com, which handles payment, sales tax and invoicing. Subscriptions renew monthly until cancelled. You can cancel at any time and keep access until the end of the paid period. See our Refund Policy for refunds.
"Unlimited" on the Pro plan means we do not meter your monthly allocation volume. It is subject to fair use: individual jobs are capped at 10,000 items, throughput is bounded by Xero's API rate limits, and we may throttle or contact you about usage patterns that degrade the Service for other customers (such as automated abuse). Normal accounting workloads — including large ones — will never hit these boundaries.
5. Acceptable use
You may not use the Service to violate any law, to access organisations you are not authorised to manage, or to attempt to disrupt the Service. We may suspend accounts that do.
6. Disclaimers and liability
You review and approve every operation before it runs; you remain responsible for the contents of your accounting records. The Service is provided "as is". To the maximum extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us in the three months before the claim arose. We are not liable for indirect or consequential loss, or for unavailability of the Xero API.
7. Changes and termination
We may update these terms; material changes will be announced on this page with a new "last updated" date. You may stop using the Service at any time. We may terminate accounts that breach these terms.
